Terms of Service

1. INTRODUCTION
Welcome to HIVEX LABS. By engaging our services, you agree to the following Terms of Service. These terms govern all website development, software development, design, branding, and related digital services provided by us.
2. SERVICES PROVIDED
We provide services including but not limited to:
-Website Design & Development
-Web Applications
-Software Development
-UI/UX Design
-Graphic Design & Branding
-System Development
-Maintenance & Technical Support
All services will be defined in a written proposal, quotation, or contract before work begins.
3. PROJECT MANAGEMENT
Each project will include:
-Scope of work
-Deliverables
-Timeline
-Pricing
-Payment terms
Any work outside the agreed scope will be billed separately.
4. PAYMENT & DEPOSITS
-A non-refundable deposit (25%) is required before work begins.
-The remaining balance must be paid before final delivery or launch.
-Late payments may result in project suspension.
-We reserve the right to withhold files, source code, or access until full payment is received.
5. REVISION & CHANGES
-Projects include a limited number of revisions (e.g., 2–3 rounds).
-Additional revisions beyond the agreed amount may incur extra charges.
-Major changes to project scope may require a new agreement.
6. CLIENT RESPONSIBILITIES
The client agrees to:
-Provide required content (text, images, logos, etc.) on time.
-Respond to feedback requests promptly.
-Ensure they have legal rights to any content provided.
-Review and approve work within a reasonable timeframe.
**Delays in providing materials may affect project timelines.
7. INTELLECTUAL PROPERTY
-Full ownership of final deliverables transfers to the client only after full payment.
-We retain the right to display completed work in our portfolio unless otherwise agreed.
-Any third-party tools, plugins, or frameworks remain the property of their respective owners.
8. HOSTING & THIRD PARTY SERVICES
We are not responsible for:
-Hosting downtime
-Third-party service failures
-Domain registrar issues
-Platform policy changes
Unless a separate maintenance contract is signed.
9. WARRANTIES & LIABILITY
-We provide services “as is”.
-We do not guarantee uninterrupted, error-free performance.
-We are not liable for:
*Data loss
*Security breaches caused by third-party services
*Business losses due to system downtime
Maximum liability shall not exceed the amount paid for the project.
10. MAINTENANCE & SUPPORT
*Maintenance is not included unless stated.
*Support may include:
-Bug fixes
-Minor updates
-Security updates
*Separate fees apply for ongoing maintenance plans.
11. TERMINATION
Either party may terminate the agreement:
-The client must pay for all completed work.
-Deposits are non-refundable.
-If the client becomes unresponsive for 30+ days, the project may be considered abandoned.
12. CONFIDENTIALITY
-We respect client confidentiality and will not share private project information without permission.
13. CHANGES OF TERMS
-Company can update Terms of Service.
-Users are notified, and continued use constitutes acceptance.
14. GOVERNING LAW
-These terms shall be governed by the laws of KENYA.
-Disputes will be resolved in A COURT OF LAW.
